Terms of Service

Please read these terms carefully before using our services.

1. Acceptance of Terms

By using our services, you agree to be bound by these Terms. If you do not agree, you must not use our services.

2. Scope of Services

We provide aircraft inspection, maintenance, repair, and alteration services in accordance with applicable FAA regulations and your business's certifications. Services may include preventive maintenance, troubleshooting, component replacement, and return-to-service documentation. The exact scope is limited to the work authorized under your business's ratings and authorizations.

3. Customer Responsibilities

  • Provide accurate aircraft data, maintenance records, and any required documentation.
  • Ensure aircraft is in a safe condition for service.
  • Pay all fees promptly as outlined in your invoice.

4. Pricing & Payment

Pricing is based on labor and parts. Quotes are valid for 30 days unless otherwise stated. Payment is due within 30 days of invoice date. Late payments may incur interest at 1.5% per month.

5. Work Authorization

We will not perform or approve work outside the scope of our certifications. Any work outside this scope must be performed by a certified entity.

6. Limitation of Liability

To the fullest extent permitted by law, Crayons and Wrenches shall not be liable for indirect, incidental, or consequential damages arising from the use of our services.

7. Intellectual Property

All proprietary materials, including service manuals, diagrams, and software, are the property of Crayons and Wrenches.

8. Confidentiality

We will not disclose customer information without written consent, except as required by law.

9. Termination

Either party may terminate these Terms with 30 days' written notice. Upon termination, all outstanding invoices must be paid.

10. Governing Law

These Terms are governed by the laws of the State of Colorado, USA.

11. Safety & Compliance Clause

  • All work performed by Crayons and Wrenches complies with applicable Federal Aviation Administration (FAA) regulations, including but not limited to 14 CFR Parts 1, 43, 65, 91, and other applicable parts.
  • Customer acknowledges and warrants that the aircraft delivered to us is in airworthy condition or will be made airworthy prior to return-to-service.
  • Crayons and Wrenches reserves the right to refuse any work that, in our professional judgment, would compromise aircraft safety or violate FAA regulations.

12. Warranty Disclaimer / Limited Warranty

Warranty Period: Crayons and Wrenches provides a limited warranty on labor for 90 days from the date of service completion and on parts for the duration of the manufacturer's warranty, whichever is longer.

Coverage: This warranty covers defects in workmanship and materials under normal use and proper maintenance.

Exclusions: This warranty does not cover:

  • Normal wear and tear
  • Misuse, abuse, or improper operation by the customer
  • Damage caused by accidents, corrosion, or environmental factors
  • Modifications or repairs performed by other parties
  • Parts failing due to manufacturer defects (covered under manufacturer warranty)

Claims Process: To make a warranty claim, contact us within the warranty period with details of the issue. We will inspect the aircraft and, if the claim is valid, perform repairs at no additional cost.

13. Aircraft Storage & Liens

Storage Fees: If the aircraft remains on our premises after work completion and invoice payment is due, storage fees of $50 per day will apply after a 7-day grace period.

Mechanic's Lien: Under Colorado law (C.R.S. § 38-20-101 et seq.), Crayons and Wrenches retains a mechanic's lien on any aircraft for which work has been performed and payment has not been received. This lien takes priority over most other claims.

Right to Retain: We reserve the right to retain possession of the aircraft until all outstanding invoices, including storage fees, are paid in full.

14. Environmental & Hazardous Materials

  • Customer is responsible for disclosing any hazardous materials present on the aircraft, including but not limited to asbestos, lead-based paints, radioactive components, or contaminated fluids.
  • All disposal of fluids, parts, and materials will be conducted in compliance with federal, state, and local environmental regulations.
  • Additional charges may apply for hazardous material handling, containment, and disposal. These charges will be communicated and approved before work proceeds.
  • Customer indemnifies Crayons and Wrenches against any claims or penalties arising from undisclosed hazardous materials.

15. Changes to Work Scope

Change Orders: If additional work is discovered during the service that was not included in the original authorization, we will issue a change order detailing the additional work, estimated costs, and impact on completion time.

Customer Approval: No additional work will be performed without explicit customer approval, except in emergency situations where delay would compromise aircraft safety. In such cases, we will make reasonable efforts to contact the customer promptly.

Pricing Adjustments: All scope changes will result in corresponding pricing adjustments. The final invoice will reflect all approved change orders.

16. Records & Documentation

  • All maintenance records will be updated in accordance with FAA requirements, including 14 CFR Part 43.9 and Part 91.417.
  • Customer will receive copies of all maintenance documentation, including work orders, inspection reports, and airworthiness directives compliance records.
  • Crayons and Wrenches reserves the right to retain copies of all documentation for our records for a period of not less than 2 years, or as required by applicable regulations.
  • Electronic copies of records may be provided upon request. Original documents will be returned with the aircraft.

17. Force Majeure

Crayons and Wrenches shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to:

  • Parts availability issues or manufacturer delays
  • Severe weather conditions affecting operations or aircraft delivery
  • Acts of God, natural disasters, or emergencies
  • Government actions, regulations, or restrictions
  • Supply chain disruptions or labor strikes

We will make reasonable efforts to minimize delays and will communicate promptly with customers regarding any force majeure events affecting their aircraft.

18. Dispute Resolution

Mediation/Arbitration: Any dispute arising out of or relating to these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the parties agree to mediation before pursuing litigation.

Venue: All legal proceedings shall be conducted in Colorado Springs, El Paso County, Colorado.

Attorney Fees: In any dispute or enforcement action, the prevailing party shall be entitled to recover reasonable attorney fees and costs from the non-prevailing party.

19. Insurance Requirements

Company Coverage: Crayons and Wrenches maintains general liability insurance and professional liability (errors and omissions) insurance with coverage limits as required by industry standards and contractual obligations.

Customer Insurance: Customers are advised to maintain their own aircraft insurance coverage during all phases of service, including storage and test flights.

No Waiver: Our insurance coverage does not waive or modify the liability limitations set forth in these Terms. Insurance proceeds, if any, shall be subject to the terms and conditions of the applicable policies.

20. Digital Services & Data

Data Collection: When using our online booking system or website, we collect information necessary to provide services, including contact details, aircraft information, and service preferences.

Data Usage: Customer data is used solely for service communications, appointment scheduling, maintenance records, and business operations. We do not sell or share customer data with third parties except as required by law or for service provision.

Data Security: We implement reasonable security measures to protect customer information from unauthorized access, disclosure, or alteration. However, no internet transmission is completely secure, and customers use our digital services at their own risk.

Data Retention: Customer data is retained for as long as necessary to provide services and comply with legal obligations, including FAA recordkeeping requirements.
